Catharine is a senior Corporate and Commercial practitioner with a particular focus on merger and acquisition transactions in the mining industry, working closely with Tabacks’ Environmental Law team.
She has over the past 18 years acted extensively for listed, unlisted and private equity clients in a range of M&A transactions entailing the purchase and sale of interests in South African mineral rights between both local and international companies and related applications for regulatory approvals, as well as a wide range of general commercial and contractual arrangements, black economic empowerment transactions, structured finance transactions, corporate restructuring transactions and the like.
Engagements
Currently Catharine is engaged in, amongst others:
- assisting two Hong Kong-based companies with their initial investments in the South Africa mining industry and the numerous commercial and regulatory issues arising therefrom;
- generally advising and assisting a South African company with the construction of a solar power project on a wheeled energy basis;
- advising the borrower and its shareholders on a refinancing transaction for a solar energy project developed in terms of the South African Renewable Energy Independent Power Producer Procurement Programme;
- advising a major consortium of local and international investors in connection with the potential acquisition of an operating mine, including all associated due diligence investigations and transactional advice;
- implementation of a broad corporate restructure of a specialist manufacturing group in connection with achieving compliance with its customers black economic empowerment requirements.
